Welcome to Rhemex Business. These Terms and Conditions ("Terms") govern the contractual relationship between Rhemex Consultants LLC ("the Company," "we," "us") and you ("the Client") when you engage our company formation, legal, accounting, and consulting services.

By engaging a service or making a payment, you agree to be legally bound by these Terms.

1. Nature of Services (Legal Disclaimer)

1.1. We are not a Law Firm

Rhemex Consultants LLC is a business consulting firm and document filing service. We are not a law firm, nor do we replace the advice of a licensed attorney.

No information provided on our website or by our advisors constitutes legal advice under an attorney-client relationship.

1.2. We are not a bank.

Rhemex Business assists with the application and pre-qualification process for business bank accounts. However, the final decision to open or close an account rests solely with the financial institution (e.g., Mercury, Relay, Brex). We do not guarantee bank account approval.

2. Company Formation Services (LLC/Corp)

2.1. Name Availability

We conduct a preliminary name availability search in the selected state. However, final name approval depends exclusively on the Secretary of State. If the state rejects the name, the client must provide alternative options at no additional cost to us.

2.2. Registered Agent

If your package includes the Registered Agent service, it will be automatically renewed annually. It is the client's responsibility to maintain this service active to receive legal notifications and avoid the administrative dissolution of their company.

2.3. Processing Times

Estimated processing times (e.g., 10-15 days) are based on current averages from government agencies. Rhemex Business is not responsible for delays caused by the IRS or the Department of State.

3. Intellectual Property Services (Trademarks)

3.1. No Registration Guarantee

Hiring our trademark filing services does not guarantee that the USPTO (United States Patent and Trademark Office) will register your trademark. The final decision rests with the federal examiners.

3.2. Fees and Charges

Our fees cover the preparation, search, and filing of the application. USPTO government fees are non-refundable under any circumstances, even if the trademark is rejected.

4. Coaching and Consulting Services

4.1. No Income Guarantee

In our mentorship programs ("Business Coach," "Certification"), we provide strategies, tools, and knowledge based on our experience. However, we do not guarantee specific financial results. The success of your business depends on your own execution, market conditions, and effort.

5. Payments, Renewals, and Refunds

5.1. Payments to Third Parties (Government Fees)

Many of our services include the payment of fees to government agencies (Filing Fees). Once Rhemex Business has submitted the payment to the state or the IRS on your behalf, that amount is non-refundable.

5.2. Service Refund Policy

Before Filing: If you cancel before we have prepared or submitted your documents, we will refund 100% of our service fees (less card processing fees).

After processing: Once the documents have been submitted to the relevant government agency, there are no refunds, as the service is considered completed.

5.3. Subscriptions (Accounting/Address)

Recurring services (Bookkeeping, Virtual Address) are billed in advance. You may cancel at any time with 30 days' notice. Refunds are not prorated for unused months.

6. Client Responsibilities

6.1. Accuracy of Information

The Client certifies that all information provided (names, addresses, passports) is truthful and current. Providing false information on federal documents may constitute perjury.

6.2. Lawful Use

The Client agrees not to use entities created by Rhemex Business for illegal activities, money laundering, terrorist financing, or fraud. Rhemex Business will fully cooperate with the authorities if any illegal activity is detected.

7. Limitation of Liability

To the fullest extent permitted by law, Rhemex Consultants LLC shall not be liable for any indirect, incidental, or consequential damages (including loss of profits or data) arising from the use of our services. Our total liability is limited to the amount paid by the Client for the specific service.

8. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New Mexico, United States.

Any dispute relating to these terms will be resolved by binding arbitration in Albuquerque, New Mexico, expressly waiving any other jurisdiction.
